**Terms of Service**

These terms, conditions, and notices ("Terms") govern your access to and use of the www.scoutcities.com website, including access and use through any other website or platforms or mobile applications ("Site").

By accessing or using this Site in any manner, you agree to be bound by these Terms. Please read these Terms carefully. If you do not accept all of these Terms, you may not use this Site.

We may modify these Terms or any additional terms that apply to this Site to, for example, reflect changes to the law or changes to this Site. **Use of the Site**

As a condition of your use of this Site, you warrant that (i) all information supplied by you on this Site is true, accurate, current, and complete, (ii) if you have a Scout account ("Account"), you will safeguard your account information and will supervise and be completely responsible for any use of your Account by anyone other than you, and (iii) you are 18 years of age or older. Scout does not knowingly collect the information of anyone under the age of 18. We retain the right at our sole discretion to deny access to anyone to this Site and the content we offer, at any time and for any reason, including, but not limited to, for violation of these Terms.

Please be advised that all reviews, including any endorsements, of cities, economic development services, or related offerings contained on this Site are the opinions of the reviewers of those services or offerings, not those of Scout. Scout from time to time may provide incentives (such as gift cards) to encourage visitors to this Site to submit reviews. Any such incentives, however, are not dependent on whether the review is positive or negative.

**Data and Content**

The Site shall maintain accurate and up-to-date data related to economic development information, including but not limited to wages, taxes, incentives, workforces, etc. ("Economic Development Data").

The Economic Development Data contained on the Site is provided to Scout by reliable sources. Scout merely presents the information in a readily available and user-friendly format. Although the Site's information is as current and up-to-date as Scout can make it, Scout has not verified any of the Economic Development Data reproduced on the Site with any of the respective cities, economic developers, chambers of commerce, or industry associations. The below Liability Disclaimer applies to all information and Economic Development Data contained and/or reproduced on and obtained by you through your use of the Site. Some Economic Development Data is provided directly by cities and organizations on their respective profiles.

**Prohibited Activities**

The content and information on this Site (including, but not limited to, messages, data, information, text, music, sound, photos, graphics, videos, maps, icons, software, code, or other material), as well as the infrastructure used to provide such content and information, is proprietary to us, except as expressly provided in these Terms. You agree not to otherwise modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any such content or information obtained from or through this Site.

Additionally, you agree not to:

- use this Site or its contents for any commercial purpose without our express written permission;

- access, monitor, or copy any content or information of this Site using any robot, spider, scraper, or other automated means or any manual process for any purpose without our express written permission;

- violate the restrictions in any robot exclusion headers on this Site or bypass or circumvent other measures employed to prevent or limit access to this Site;

- take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure;

- deep-link to any portion of this Site for any purpose without our express written permission;

- "frame", "mirror", or otherwise incorporate any part of this Site into any other website or mobile application without our prior written authorization;

- attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by Scout in connection with this Site or the content we provide;

- post reviews on products or services offered by your current employer or by direct competitors of your current employer; or

- log in using an alias that masks your true identity.

**Privacy Policy**

Scout believes in protecting your privacy. Our current Privacy Policy can be found at www.Scoutcities.com/terms. In conjunction with these Terms, the Privacy Policy also governs your use of this Site.

**Reviews, Comments, and Use of Other Interactive Areas**

We value your feedback. This Site provides various forums where you and third parties can share reviews of experiences with technologies and services or post and link other content, messages, materials, videos, or other items ("Interactive Areas"). If ScoutCities Inc. grants you access to these Interactive Areas (whether through a registered Account or otherwise), you bear sole responsibility for your use of them and do so at your own risk. By engaging with any Interactive Areas, you expressly agree not to post, link, upload, transmit, distribute, store, create, or otherwise publish on this Site any of the following:

Any content, data, information, text, music, sound, photos, graphics, screenshots, video, code, or any other material ("Content") that is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent, or otherwise objectionable;

Content that impersonates any individual or entity, or misrepresents your affiliation with an individual or entity, including ScoutCities Inc.; Unsolicited promotions, political campaigns, advertisements, contests, raffles, or solicitations; Private information of any third party, including names, addresses, phone numbers, email addresses, Social Security numbers, financial details, and credit card numbers; Viruses, corrupted data, or other harmful, disruptive, or destructive files; Content unrelated to the topic of the Interactive Area(s) in which you post, link, or publish such Content; or Content or links to content that, at ScoutCities Inc.'s sole judgment, (i) breaches the above subsections, (ii) is objectionable, (iii) inhibits other individuals from using or enjoying the Interactive Areas or this Site, or (iv) exposes ScoutCities Inc., its affiliates, users, or sublicensees to any form of harm or liability. Engaging with the Interactive Areas or other parts of this Site in violation of the aforementioned conditions constitutes a breach of these Terms and may lead to actions such as suspension or termination of your privileges to use the Interactive Areas and/or this Site.

 

ScoutCities Inc. holds no responsibility and assumes no liability for any Content posted, stored, or uploaded by you or any third party, including any loss or damage resulting from such Content. Additionally, ScoutCities Inc. is not liable for any errors, defamation, slander, omissions, false information, obscenity, pornography, or profanity that you may encounter. As a provider of interactive services, ScoutCities Inc. is not accountable for statements, representations, or content provided by its users in any public forum or Interactive Area. Although ScoutCities Inc. is under no obligation to screen, edit, or monitor any Content posted or distributed through any Interactive Area, it reserves the right, with absolute discretion and without notice, to remove, screen, or edit any Content stored or posted on this Site for any reason, and you are solely responsible for creating backup copies and replacing any Content you post or store on this Site, at your sole cost and expense.

3. Reviews and Other Content Published on Our Site

If you leave a review on the Site, or participate on a discussion board, your review(s) or comments will be publicly available on and off of our Site. You can submit reviews and comments anonymously, if you would like. Before you submit a review, please note the following:

Submitting reviews and comments is entirely voluntary.

By submitting reviews and comments, you grant Scout an authorization to publicly share them and sub-license the content according to our Terms of Service. This means that we can authorize: (a) the providers of software products and services to share this content through their websites, social media sites, or other marketing materials, such as slide decks or case studies, and/or the operators of other publicly-available websites, social media sites, platforms, or mobile apps to republish this content. You can always choose to post reviews and comments anonymously, so that no one, except us, will know you posted the review or comment. If you posted an attributed review under your name, you can change your mind later, and we will anonymize or delete it. However, please understand that we cannot guarantee others did not store the information prior to the change, by printing or downloading the original post.

Scout may share your personal information with the providers of products and services listed on our Site, with our business partners, with our service providers, with various social media networks, our affiliates, and any other third parties whom you authorize us to share your information with. Scout uses third party service providers to support or provide services for us in connection with the Site, such as hosting, security and fraud prevention, technical and user support, tracking and reporting usage of the Site, marketing, and other functions. We share your information with them as necessary to perform tasks on our behalf and they are obligated to not disclose or use it for any other purpose.

Sharing with social networks. If you sign in to your Scout account using a social network like LinkedIn or Facebook, we may share information about your activity or any content you post on the Site with the relevant social network. For example, if you write a review on the site and elect to post that review on social media, we will share the personal information you have provided in connection with that review to the relevant social network in order to facilitate the sharing of your review.

Sharing with our affiliates. We share information from or about you with our affiliates and require them to abide by this policy. If another company were to acquire Scout, or all or substantially all of our assets, that company would then possess any information Scout has from or about you, and will collect, use, and disclose that information solely as described in this policy.

Scout may receive monetary or other valuable consideration for sharing your personal information when you submit a request to be contacted by a provider on our Site. We do not share that information with any other third parties. The personal information that is shared includes your first and last name, and your email address. Any other information you submit with your request will also be shared with the provider.

Scout has not sold any other personal information for any other purpose in the last 12 months.

Depending on where you are located and/or live, you may exercise certain data privacy rights, and Scout will facilitate the exercise of those rights.
